TERMS OF SERVICE

AGREEMENT TO OUR LEGAL TERMS

We are Tempus LLC, doing business as Tempus IRB ("Company," "we," "us," or "our").

We operate the website http://www.tempusirb.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

We provide Institutional Review Board (IRB) services to review and oversee research involving human subjects, to ensure ethical standards, regulatory compliance, and protection of participants' rights and welfare as authorized by federal regulations, specifically 45 CFR Part 46 (the "Common Rule") and, when applicable, FDA regulations under 21 CFR Parts 50 and 56.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Tempus LLC. By accessing the Services, you agree to these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms or documents posted on the Services from time to time are incorporated herein by reference. We reserve the right to make changes to these Legal Terms at any time. Changes will be indicated by an updated "Last updated" date. Continued use constitutes acceptance.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

1. OUR SERVICES

The information provided is not intended for distribution or use in any jurisdiction or country where such distribution or use would be contrary to law or require registration. Accessing the Services from other locations is done at your own risk and you are responsible for compliance with local laws.

The Services are not designed to comply with industry-specific regulations (e.g., HIPAA, FISMA). Do not use the Services if your interactions are subject to such laws. You may not use the Services in a way that violates the Gramm-Leach-Bliley Act (GLBA).

We grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print content solely for your internal business purpose, provided you comply with these Legal Terms.

You may not reproduce, republish, upload, post, display, encode, transmit, distribute, sell, license, or exploit any part of the Services or Content without our express prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  2. You will maintain the accuracy of such information.
  3. You have the legal capacity to agree to these Legal Terms.
  4. You are not a minor.
  5. You will not access the Services via automated or non-human means.
  6. You will not use the Services for illegal or unauthorized purposes.
  7. Your use of the Services will not violate any applicable laws or regulations.

If any information provided is untrue, we may suspend or terminate your account.

4. USER REGISTRATION

You may need to register to use the Services. Keep your password confidential. We reserve the right to reclaim usernames deemed inappropriate.

5. PURCHASES AND PAYMENT

  • Bank Transfer

You agree to provide accurate billing information and promptly update it as needed. All payments are in USD. We may refuse or cancel orders at our discretion.

6. POLICY

All sales are final. No refunds.

7. PROHIBITED ACTIVITIES

You may not use the Services for any purpose not explicitly permitted. Prohibited activities include, but are not limited to:

  • Data scraping or harvesting
  • Harassment or abuse
  • Impersonation
  • Uploading malware
  • Circumventing security features
  • Violating intellectual property rights
  • Using automation or bots
  • Submitting false reports
  • Making fraudulent purchases

8. USER GENERATED CONTRIBUTIONS

You will have opportunities to submit content ("Contributions") associated with the research study you are submitting for review. Contributions must not:

  • Infringe IP rights
  • Be false or misleading
  • Contain unlawful material
  • Violate privacy or publicity rights
  • Be obscene or offensive

9. CONTRIBUTION LICENSE

By submitting Contributions through our website, you grant us an unrestricted, irrevocable, perpetual, worldwide, royalty-free license to use such Contributions for the express purpose of providing or improving our Services. You will retain full ownership of your Contributions.

10. THIRD-PARTY WEBSITES AND CONTENT

The Services may link to third-party websites. We are not responsible for their content, accuracy, or policies. Access these sites at your own risk.

11. SERVICES MANAGEMENT

We reserve the right to:

  • Monitor the Services
  • Take legal action against violations
  • Remove or disable content
  • Restrict access
  • Manage Services for security and functionality

12. PRIVACY POLICY

Your use of the Services is subject to our Privacy Policy, which is incorporated herein.

13. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time without notice.

14. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change or remove Services without notice. We are not liable for interruptions.

15. GOVERNING LAW

These Legal Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.

16. DISPUTE RESOLUTION

Informal Negotiations

Parties agree to attempt informal resolution for at least 30 days before arbitration.

Binding Arbitration

All disputes will be resolved by binding arbitration under AAA rules in Utah. No class actions permitted.

17. CORRECTIONS

We may correct errors or inaccuracies in the Services at any time without notice.

18. DISCLAIMER

Services are provided "AS IS." We disclaim all warranties, including implied warranties of merchantability and fitness for a particular purpose.

19. LIMITATIONS OF LIABILITY

We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you to us.

20. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims resulting from:

  • Your Contributions
  • Your use of the Services
  • Your violation of these Legal Terms

21. USER DATA

We may retain data for performance tracking, but we are not responsible for data loss. You are responsible for backing up your data.

22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive electronic communications and agree to electronic signatures and transactions.
